General Terms of Sale — Juno Influence (Brands, international)
Version 1.1 — effective 9 October 2026 (Article 6a added: Gifting plan and credits)
These Terms of Sale are the English version of the Juno Influence terms of sale, for brands established outside France. They are governed by French law (Article 19).
Article 1 — Identification of the service provider
The Juno Influence service is published and provided by JUNO, a French société à responsabilité limitée (SARL) with a share capital of €10,000, whose registered office is at 21 rue du Buisson Saint-Louis, 75010 Paris, France, registered with the Paris Trade and Companies Register (RCS) under number 990 995 136, EU VAT number FR22990995136, contact: contact@wearejuno.fr (hereinafter "Juno").
Article 2 — Purpose and scope
2.1. These general terms of sale (the "Terms of Sale") govern the sale by Juno of influencer marketing campaigns to business customers (hereinafter the "Brand"). A campaign consists of designing and organising promotional content for the Brand, having it produced by content creators (the "Creators"), and having it published.
2.2. Juno Influence is reserved for professionals acting for the purposes of their trade, business or profession. By accepting the Terms of Sale, the Brand declares that it acts as a professional. The provisions of the French Consumer Code on the right of withdrawal do not apply, nor does any consumer right of withdrawal under the law of the Brand's country.
2.3. The Terms of Sale form the basis of the commercial negotiation, in accordance with Article L.441-1 of the French Commercial Code (Code de commerce). They apply to every order. For each campaign, they are supplemented by an order form (the "Order Form"), which prevails over the Terms of Sale as regards that campaign. The Brand's general terms of purchase do not apply unless expressly accepted by Juno in writing.
2.4. The "Advertising Compliance" Annex and the "Cancellation and Refund Policy" form an integral part of the Terms of Sale.
2.5. The Terms of Sale also govern the Gifting plan and Gifting credits (Article 6a).
Article 3 — Role of Juno
3.1. Juno acts in its own name. Juno selects the Creators, contracts alone with each of them, supervises the production of the content and pays the Creators. Juno does not act as the Creators' agent, nor as the Brand's agent (mandataire) for the purchase of advertising space.
3.2. The Brand has no direct contractual relationship with the Creators in respect of a campaign. It nevertheless remains the advertiser (annonceur) within the meaning of French Law No. 2023-451 of 9 June 2023 on commercial influence (the "French Influencer Law"), with the obligations attached to that status (Article 8), and the advertiser within the meaning of the law of any other country in which the campaign is published.
3.3. The price paid by the Brand is a global, lump-sum price. It covers all the services of the campaign. The breakdown of the remuneration paid to each Creator is confidential and is not disclosed to the Brand.
Article 4 — Brand account
4.1. Access to the services requires the creation of an account. The person creating the account declares that they have authority to bind the Brand.
4.2. The Brand provides accurate and up-to-date information: company name, legal form, registration number (SIREN in France, or the foreign equivalent such as a commercial or trade licence number), VAT number or tax registration number where applicable, billing address and billing e-mail address.
4.3. The Brand may invite members of its team. It is responsible for all actions carried out from its account and keeps its login credentials confidential.
Article 5 — Quotation, order and formation of the contract
5.1. The Brand describes its requirements (objective, products, platforms, number and profile of Creators, formats, dates, usage rights). Juno sends it a priced proposal.
5.2. The order is formed when the Brand accepts the campaign Order Form online. The Order Form specifies in particular:
- the deliverables;
- the provisional schedule;
- the number of rounds of revisions included;
- the usage rights (scope, media, duration, territory);
- any exclusivity;
- the price.
The acceptance is time-stamped and linked to the user's identity, IP address and browser. The accepted text is frozen and retained.
5.3. The composition of the team of Creators may change until the team is confirmed, depending on availability. Juno offers a Creator with an equivalent profile in the event of unavailability. The Brand may reject a proposed Creator before the team is confirmed.
Article 6 — Prices and payment terms
6.1. Prices are stated exclusive of taxes, in the currency indicated in the Order Form. VAT is applied as follows:
- Brand established in France: French VAT is added at the applicable rate.
- Brand established in another Member State of the European Union and registered for VAT: the invoice is issued exclusive of VAT, and VAT is self-assessed by the Brand under the reverse-charge mechanism (Article 196 of Council Directive 2006/112/EC). The Brand provides a valid intra-EU VAT number, failing which French VAT is applied.
- Brand established outside the European Union (for example in the United Arab Emirates): the service is outside the scope of French VAT.
Any tax, duty or withholding due in the Brand's country on the services is borne by the Brand, which pays Juno the full invoiced amount without deduction. Where a withholding is mandatory under the law of the Brand's country, the Brand grosses up its payment so that Juno receives the full invoiced amount.
6.2. Unless otherwise stipulated in the Order Form, the price is payable in full upon ordering, before the campaign is launched, by bank transfer to Juno's account indicated on the invoice or by card through Juno's payment service provider. Bank and currency conversion fees charged to the Brand are borne by the Brand. The campaign is launched, and offers are sent to Creators, only after payment has been received.
6.3. If deferred payment is granted, the price is payable no later than the due date shown on the invoice, within a limit of 30 days from the date of issue. Any late payment automatically entails, without prior reminder:
- late-payment penalties equal to three times the French statutory interest rate;
- a fixed indemnity for recovery costs of €40 (Articles L.441-10 and D.441-5 of the French Commercial Code), without prejudice to additional compensation upon proof.
Juno may suspend the campaign until full payment. No discount is granted for early payment.
6.4. Invoices are issued by Juno in a numbering series specific to Juno Influence. They are made available in the Brand's account and sent to the billing e-mail address.
Article 6a — Gifting plan and credits
6a.1. Purpose. The Gifting plan gives the Brand, every month, the number of Gifting credits provided by the chosen plan. Credits are used to publish gifting missions, to which targeted Creators apply, to choose Creators on them, and to offer a mission to a Creator designated by name. A gifting mission compensates the Creator with a benefit in kind provided by the Brand (product, service, meal, stay). Credits are not used for campaigns paid in cash.
6a.2. Price, term, payment. The plan is taken out for one month and renews tacitly every month on its anniversary date. Its price is that of the plan displayed at sign-up, exclusive of taxes, with VAT applied as set out in Article 6.1. It is payable in advance, by card through Juno's payment service provider or, where Juno accepts it, by bank transfer. An invoice is issued for each paid instalment.
6a.3. Nature of credits. Credits are units of use of the service. They have no monetary value, are neither refundable, convertible nor transferable, and are not a means of payment.
6a.4. Charge. The number of credits a Creator costs depends on their audience tier, according to the grid displayed in the Brand account at the time of the operation. Credits are charged:
- when the Brand chooses a Creator who applied to its mission;
- when the Brand sends its mission to a Creator designated by name, upon sending the proposal, whether or not the Creator accepts it.
An operation is only possible if the credit balance covers it.
6a.5. Return. Credits charged for a chosen Creator are returned if that Creator withdraws before performance, or if the campaign is cancelled before the products are shipped. Credits charged for a proposal sent to a Creator designated by name are not returned.
6a.6. Roll-over and expiry. Unused credits roll over from one month to the next while the plan is active. When the plan ends, they remain usable for sixty (60) days, then expire without compensation.
6a.7. Change of plan and cancellation. The Brand may change plan or cancel from its account at any time. A higher plan takes effect immediately, the price difference for the current month being charged pro rata. A lower plan takes effect at the next renewal. Cancellation takes effect at the end of the current, already paid, monthly period, without pro rata refund.
6a.8. Non-payment. If an instalment is not paid, no credit is granted for the period concerned and Juno may suspend the sending of new proposals until payment. Without payment within thirty (30) days, the plan ends.
6a.9. Changes to the plans. Juno may change its plans, their prices or the credit grid. The Brand is informed at least thirty (30) days before they apply to its current plan, and may cancel it before that date.
6a.10. Without a plan. A gifting campaign ordered through a quote remains possible without a plan: a service fee per chosen Creator is then included in the price of the Order Form.
6a.11. Products and benefit in kind. The value of the products or services offered, their shipping and any incidental costs remain borne by the Brand and are not invoiced by Juno (Article 7.2). The Brand states the value of the benefit in kind, which appears in the Creator's contract.
Article 7 — Performance of the campaign
7.1. Brief. The Brand provides an accurate and complete brief: message, mandatory elements, prohibited elements, authorised and substantiated claims, legal notices specific to its sector and to each country in which the campaign will be published. It answers the Creators' questions relayed by Juno within a reasonable time.
7.2. Products. Where the campaign involves sending products, the Brand ships them at its own expense, compliant and in good condition, to the addresses provided by Juno, within time limits allowing the schedule to be met. The Brand is responsible for customs formalities, import duties and taxes and for compliance with the import rules of the destination country. Products given to Creators remain theirs, unless otherwise stipulated in the Order Form. Their value is stated by the Brand, since it constitutes a benefit in kind that must appear in the Creator's contract.
7.3. Approval of content. Content is submitted to the Brand before publication.
- The Brand has three (3) business days to approve it or to request reasoned revisions. Revisions must remain within the scope of the initial brief.
- The number of rounds of revisions included is set out in the Order Form. Beyond that, or for a request outside the brief, Juno may propose an additional quotation.
- If no reply is received within that period, the content is deemed approved.
7.4. Creative freedom. The Brand acknowledges that the Creators retain control over their tone, style and means of production, in compliance with the brief. The content reflects the sincere opinion of its author. The Brand may not require a false review or the concealment of the commercial nature of the content.
7.5. Publication and keep-live period.
- Publications are made on the agreed dates, or on nearby dates if justified by an objective reason.
- Permanent publications (posts, reels, videos) are kept online for the period stated in the Order Form or, failing that, for six (6) months.
- Stories are ephemeral by nature.
- Removal imposed by a platform, an authority or a court decision, or the deletion of an account, does not give rise to Juno's liability. Juno informs the Brand and, where possible, proposes an equivalent replacement solution.
7.6. Metrics. Juno provides the available statistics on the publications. Estimates of reach, views or engagement provided before the campaign are indicative only. Juno is bound by an obligation of means (best efforts) as regards the performance of the content, and by an obligation of result as regards the production and publication of the agreed deliverables.
Article 8 — Brand compliance obligations
8.1. The Brand warrants that its products, services and claims are lawful, comply with applicable regulations and can be substantiated, and that it holds the rights to the trademarks, logos, visuals, music and other materials it provides to Juno or to the Creators.
8.2. The Brand warrants that the campaign does not concern any product or service whose promotion through commercial influence is prohibited, and that it complies with the rules of regulated sectors. These products and sectors are listed in the "Advertising Compliance" Annex: cosmetic surgery and aesthetic procedures, nicotine, crypto-assets without authorisation, sports betting tips, ultra-fast fashion from 1 January 2027, alcohol, gambling, health, food, etc. Juno may refuse or interrupt any campaign that breaches these rules, without compensation to the Brand.
8.3. The Brand never asks Creators to omit the disclosure "Publicité" or "Collaboration commerciale" (French for "Advertising" or "Commercial collaboration"), or the equivalent disclosure required in another country, nor the notices "Images retouchées" ("Retouched images") or "Images virtuelles" ("Virtual images") where they are required.
8.4. Campaigns published in or targeting other countries. Where the campaign is published in, or targets the public of, a country other than France, the Brand also warrants that the campaign, its products and services and its claims comply with the advertising law of that country. In particular, where the campaign is published in or targets the United Arab Emirates, or where the Brand is established there, the Brand warrants that:
- its products, services and claims comply with UAE law and with the media content standards applicable in the UAE;
- it holds any licence and has obtained any prior approval required in the UAE for its activity and for advertising in its sector (for example real estate, healthcare, finance, education or food);
- where it contracts directly with creators or agencies in the UAE, it does so only with persons holding the permits required by UAE law;
- it provides proof of these licences and approvals to Juno on request.
8.5. The Brand indemnifies and holds Juno harmless against any claim, action or penalty by a third party or an authority resulting from a breach of the above warranties, in particular under the joint and several liability provided for in Article 8 III of the French Influencer Law or under the law of any other country in which the campaign is published.
Article 9 — Usage rights in the content
9.1. Juno acquires the necessary rights from each Creator and licenses them to the Brand, solely within the limits defined in the Order Form:
- scope: reproduction, communication to the public, technical adaptation (cropping, subtitling, short edits without distortion);
- purpose: organic distribution on the Brand's accounts and, if the Order Form so provides, paid advertising use;
- media: social networks, website, newsletters and, if provided for, online advertising networks;
- territory: worldwide, as regards online distribution;
- duration: as stated in the Order Form.
Any other use, in particular outdoor display, television, print or a longer duration, requires Juno's prior written consent and may give rise to additional remuneration.
9.2. On expiry of the rights, the Brand ceases any new distribution and withdraws the content from its paid advertising. It is not required to delete organic publications posted during the term of the rights.
9.3. The Creator retains their moral rights. The Brand shall not make any modification that would impair the integrity of the content or the Creator's image.
9.4. Third-party rights that may be present in content, in particular music from platform libraries, may be limited to use on the original platform. Juno informs the Brand when it becomes aware of this.
Article 10 — Exclusivity and non-solicitation
10.1. Sector exclusivity of the Creators exists only if the Order Form provides for it, with its scope and duration.
10.2. During the campaign and for twelve (12) months after its end, the Brand shall not solicit, directly or through an intermediary, any Creator introduced to it by Juno with a view to an influencer service bypassing Juno. Failing this, it shall pay Juno an indemnity equal to 30% of the sums paid to the Creator in breach of this undertaking, without prejudice to any other damages. A relationship that pre-existed the introduction by Juno, which the Brand proves, does not constitute solicitation.
Article 11 — Cancellation, modification and refund
11.1. Cancellation of a campaign by the Brand, default by a Creator and refunds are governed by the Juno Influence Cancellation and Refund Policy. It forms part of the Terms of Sale, and the applicable version is the one in force on the date of the order.
11.2. Any substantial change to the campaign after the team has been confirmed (deliverables, dates, Creators, brief) is subject to Juno's agreement and may give rise to a price adjustment.
Article 12 — Liability
12.1. Juno is bound by an obligation of means in organising campaigns. It is liable for the production and publication of the agreed deliverables, subject to Articles 7.5 and 13.
12.2. Juno is not liable for:
- statements and conduct of Creators unrelated to the campaign;
- decisions of platforms (algorithms, account suspensions, removals);
- the commercial performance of the campaign;
- the consequences of inaccurate or unlawful information, products or materials provided by the Brand.
12.3. Except in the event of gross negligence or wilful misconduct, and except for personal injury, Juno's total liability in respect of a campaign is limited to the amount, exclusive of taxes, paid by the Brand for that campaign. Juno is not liable for indirect damage, such as loss of revenue, customers or reputation.
Article 13 — Force majeure and reputational harm
13.1. Neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code.
13.2. If, before or during a campaign, a Creator becomes the subject of a public controversy likely to seriously harm the Brand's image, the Brand may request the removal of that Creator. Juno then proposes a replacement with an equivalent profile or, failing that, refunds the unperformed portion corresponding to that Creator.
Article 14 — Confidentiality
Each party keeps confidential the non-public information of the other party: the brief before publication, financial terms, Creators' data. It uses such information only for the performance of the campaign, during the relationship and for three (3) years after its end.
Article 15 — Personal data
15.1. Juno processes the data of the Brand's users to manage the account, orders, invoicing and the business relationship, in accordance with its privacy policy and the EU General Data Protection Regulation (GDPR).
15.2. Creators' data disclosed to the Brand (public identity, audience statistics, delivery details where applicable) may be used by the Brand only for the performance of the campaign. The Brand deletes them no later than the end of the campaign, unless there is a legal obligation to retain them. The Brand acts as a separate data controller for such data. Where the Brand is established outside the European Economic Area, it processes such data with a level of protection equivalent to that of the GDPR.
Article 16 — References
Unless the Brand objects in writing, Juno may cite the Brand's name and logo, as well as the published content of the campaign, as a commercial reference.
Article 17 — Term and termination
17.1. The Terms of Sale apply for as long as the Brand has an account. The Brand may close its account at any time, subject to completion of ongoing campaigns and payment of the sums due.
17.2. In the event of a serious breach by a party that is not remedied within eight (8) days of formal notice, the other party may terminate the campaign concerned automatically, without prejudice to any damages.
Article 18 — Amendment of the Terms of Sale
Juno may amend the Terms of Sale. The new version applies to orders placed after it is published. The Brand is informed of it and accepts it when placing its next order.
Article 19 — Governing law and jurisdiction
19.1. The Terms of Sale and the orders are governed by French law, regardless of the country in which the Brand is established. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19.2. The parties seek an amicable solution before taking any action.
19.3. Failing an amicable agreement, any dispute falls within the exclusive jurisdiction of the Tribunal des activités économiques de Paris (Paris Economic Activities Court, France), including in the event of multiple defendants or third-party claims.
