Terms for Influencer Agents — Juno Influence (international)
Version 1.1 — effective 15 October 2026
Article 1 — Purpose
These terms govern the activity on Juno Influence of any natural or legal person who, for consideration, represents one or more content creators (the "Agent") within the meaning of Article 7 of French Law No. 2023-451 of 9 June 2023 on commercial influence (the "French Influencer Law").
Juno Influence is published by JUNO, a French SARL with a share capital of €10,000, 21 rue du Buisson Saint-Louis, 75010 Paris, France, RCS Paris 990 995 136 ("Juno").
Article 2 — Juno is not an agent
Juno sells campaigns to brands in its own name and contracts directly with creators. Juno does not carry on the business of influencer agent and does not represent any creator.
Article 3 — Registration of the Agent
3.1. The Agent registers online on Juno Influence. It provides its identity, legal form, registration number (or the foreign equivalent, such as a trade licence number), address, country of tax residence and bank details, as well as the name of a contact person, and accepts these terms.
3.1a. An agency may bring together several people. Its holder invites the members of its team and is answerable for each of their actions on Juno Influence.
3.2. An Agent established outside the European Union, the European Economic Area and Switzerland, acting with respect to a public in France, provides proof of a legal representative established in the European Union and of professional liability insurance with an insurer established in the European Union (Article 9 of the French Influencer Law).
3.3. An Agent established in the United Arab Emirates, or representing creators who reside in the UAE, produce advertising content from within the UAE or target the public in the UAE, holds the licences and accreditations required by local law for its activity, and provides proof to Juno on request. Where it applies for or manages, on behalf of a visiting creator, a Visitor Advertiser Permit, it does so as an agency accredited by the UAE federal media authority and assumes the responsibilities attached to that status under local law.
3.4. Juno validates the registration and may refuse, suspend or archive it. Before validation, the Agent may prepare its requests, but none is sent to a creator.
Article 4 — Creator's mandate
4.1. The Agent represents and warrants that it has entered into a written contract with each creator it declares to represent, in accordance with Article 8 of the French Influencer Law. That contract specifies:
- the identity of the parties, their contact details and their country of tax residence;
- the nature of the missions;
- the Agent's remuneration;
- the rights and obligations of the parties;
- that it is governed by French law.
The Agent provides a copy of this contract to Juno on request.
4.2. The Agent asks the creator, from its account, for one or more authorisations:
- to manage the profile;
- to receive offers, agreements and briefs;
- to accept offers and mission agreements in the creator's name;
- to receive payments;
- to follow missions (upload content, declare publications, communicate with Juno for the creator).
The creator confirms them personally, from their own Juno account or from the personal link they receive by email, which opens that account. The creator may withdraw an authorisation requested, but never receives one they have not confirmed. Juno keeps proof of each confirmation: confirmed text, digital fingerprint, date, IP address and browser.
Only these authorisations are binding on Juno. The creator may change or revoke them at any time. Revocation takes effect immediately for the future and does not affect missions already accepted. A creator has only one agent authorised to accept their offers and only one agent authorised to receive their payments.
4.3. The commercial collaboration agreement for each mission is always entered into in the creator's name, even when the Agent accepts it on the creator's behalf under its authorisation. The agreement then names the Agent and the date of its authorisation; the Agent may only accept an agreement that names it.
4.4. Where the Agent prepares the profile of a creator who is not yet registered, it warrants that it has the creator's consent to provide their data to Juno, including their image and date of birth. Juno reviews that profile only after the creator has confirmed. The confirmation request expires after fourteen (14) days; the Agent may renew it. The data provided is deleted if the creator declines, if the Agent withdraws the request, or if no confirmation is given within thirty (30) days of the expiry. It is then kept for no more than one (1) month, until it is permanently erased. Juno only represents creators who are of age.
Article 5 — Agent's obligations
The Agent undertakes to:
- defend the creator's interests and avoid any conflict of interest, in particular not to represent, simultaneously on the same campaign, interests contrary to those of the creator;
- forward to the creator, without delay and without modification, the offers, briefs and agreements received from Juno;
- ensure that the creator complies with the "Advertising Compliance" Annex, in particular the disclosures "Publicité" or "Collaboration commerciale" (or the equivalent disclosure required in the country concerned), and holds the permits and licences required by local law, including the UAE Advertiser Permit where applicable;
- not approach directly the brands met through Juno in order to bypass Juno, during the campaign and for the following twelve (12) months.
The Agent is informed that it is jointly and severally liable, together with the advertiser, the advertiser's agent and the creator, for damage caused to third parties in the performance of the commercial influence contract (Article 8 III of the French Influencer Law).
Article 6 — Payments
6.1. Where the creator has authorised the Agent to receive payments, the authorisation states, and the creator confirms, who issues the invoice to Juno: the creator, or the Agent if it invoices the creator's service in its own name. Juno pays the remuneration for the mission to the Agent's bank account, against the invoice of the party so designated. This payment discharges Juno towards the creator to the extent of the amount paid. The payee and the issuer of the invoice are those in force on the day the offer is accepted: a later change applies only to missions accepted after it.
6.2. The Agent pays over to the creator the sums due to the creator, under the conditions of their contract. Juno is not liable for the financial relationship between the Agent and the creator.
6.3. Juno pays no commission to the Agent. The Agent's remuneration is agreed exclusively between the Agent and the creator.
Article 7 — Suspension
Juno may suspend the Agent's access, after inviting it to submit its observations except in cases of urgency, in the event of:
- breach of these terms;
- failure to produce the written contract with a creator;
- a complaint from a creator;
- failure to pay over sums received.
Article 8 — Personal data
The Agent uses the data of brands and campaigns only to represent the creators concerned. It keeps confidential the information received from Juno.
Article 9 — Governing law
These terms are governed by French law. The parties seek an amicable solution. Failing that, and if the Agent is a trader (commerçant), the dispute falls within the exclusive jurisdiction of the Tribunal des activités économiques de Paris (Paris Economic Activities Court, France). In all other cases, it falls within the jurisdiction of the competent court under the ordinary rules of jurisdiction.
